Sarah Guy Pty Ltd is an Australian company established in Sydney, Australia to provide a range of Corporate Services to clients based both in Australia and internationally. We provide a seamless, cost effective and efficient compliance solution and has the ability to draw in appropriate legal and taxation experts to provide approved formal advice.
Services we provide include:
- Resident Director / Nominee Director services – to achieve compliance with the Corporation Act (2001) and to assist with business activities in Australia;
- Trustee or Public Officer representation for foreign-owned Australian entities;
- Nominee Director services for foreign entity’s Australian-owned companies;

Sarah Guy supports the goals and objectives of the investor and owners in a variety of entities. Often our clients are international companies entering the Australian market and in need of an entity to represent or assist them in the establishment of a presence in the Australian business environment.
We typically provide assistance with two major areas:
Under the Australian Corporation Act 2001 (the ‘Act’) every Australian Propriety Limited (Pty Ltd) company must have at least one resident Director and a Public Officer. A Company Secretary is optional and if the Propriety Company does not have one it is the reasonability of the Directors to ensure the typical duties of the Company Secretary are fulfilled.
Australian Public Companies must have 3 Directors of which 2 must be residents and must appoint a Company Secretary. Any deviation from this Board composition does not always breach the Act.
Resident Director / Nominee Director
Sarah Guy offers resident director services to achieve compliance with Act and to assist with the establishment of business activities in Australia. The nominee is a director of the company in name only and will not, unless contracted under other service lines, have any other business responsibilities or operational control.
Public Officer
Sarah Guy also provides the service to act as the Public Officer. Under the Income Tax Assessment Act (1936) all companies doing business in Australia must have a public officer. The public officer of a company is a person with whom the Australian Taxation Office would normally deal with in relation to the entities tax affairs. Sarah Guy liaises with the company’s accountant and tax advisers and signs the periodic tax returns on behalf of the company for lodgement
Local Agent
Sarah Guy can at as a Local Agent for a foreign company. A registered foreign company (registered with ASIC) as an ARBN – Australian Registered Body Number must always have a local agent. A local agent of a registered foreign company is answerable for the doing of all acts, maters and things that the foreign company is required by or under the Act to so
Often wholly foreign owned Propriety Companies appoint a Nominee / Resident Director to Act on their behalf and which provides the foreign company with the following benefits:
- Compliance – The appointment of a Nominee Director allows the company to meet their legal requirements under the Act while not being required to recruit an hands on director
- Cost Effectiveness – Appointing a nominee director will provide significant cost savings to be available to the company over engaging a full time employee.
- Skillset – The appointment of a Nominee Directors significant professional experience which would otherwise not be available
- Assurance – Ensure an oversight is given on the secretarial and regulatory compliance of the Company, therefore avoiding the risk of non-compliance
- Independence – Provide service without a conflict of interest which may occur would the company’s legal and accounting advisors performs this role. Furthermore if the foreign owned entity is a Joint Venture between two parties an appointment of a Nominee protects individual parties interest
